Acceptance and eligibility

These Terms of Service govern your access to and use of this website, operated by OMEC Smart Card Inc. (“OMEC”, “we”, “us” or “our”) of 8293 Dow Cir, Strongsville, Ohio, United States. By using the site you agree to these terms; submitting our contact form is an express agreement to them. If you do not agree, do not use the site.

The site is intended for professional and business audiences. By using it you represent that you are at least 18 years old and, if you act on behalf of a company, that you have authority to accept these terms for it. Our Privacy Policy describes how we handle information collected through the site; it is a disclosure, not a part of this contract.

Informational content

Content on this site describes OMEC’s manufacturing capabilities and products for general information. It is not a binding offer or specification. Product suitability, chipset availability, pricing and lead times are confirmed only through a written quotation or agreement for a specific program, and preliminary replies, samples, recommendations or sales discussions are likewise non-binding until included in one.

Intellectual property and site license

The OMEC name, logo and the content and imagery on this site are owned by OMEC Smart Card Inc. or its licensors. We grant you a limited, revocable, non-exclusive license to access the site and to view, download and print its content for evaluating OMEC and its products, including sharing it within your organization for that purpose. Linking to the site is welcome. Any other reproduction or commercial reuse requires our written permission, and nothing in these terms restricts uses independently permitted by law, such as fair use. Third-party product and vendor names (including NXP, STMicroelectronics and Infineon) are trademarks of their respective holders; their appearance here does not imply endorsement.

Acceptable use and automated access

Good-faith automated access that respects our robots.txt directives - including search-engine and AI-assistant crawling and indexing - is welcome.

You agree not to misuse the site, including attempting to disrupt its operation, probe, breach or circumvent its security or anti-bot protections, harvest personal information, impose excessive load, republish site content at scale for a competing commercial purpose, or submit false, misleading or automated inquiries through the contact form.

Your submissions

You keep ownership of the information you submit through the contact form. You grant us permission to store, route, review and respond to it, and you represent that you are entitled to provide it, including any information about your company.

Please do not submit trade secrets, security architecture, credentials, personal information about others, export-controlled technical data, or other confidential information unless a written agreement between us and a secure channel are in place. Submitting the form does not create a confidentiality obligation, non-disclosure agreement, or supply relationship.

Third-party links

The site may link to third-party websites, including service provider and chipset vendor pages. We do not control those sites and are not responsible for their content, availability or privacy practices. A link does not imply our endorsement.

Disclaimer of warranties

The site and its content are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted availability. We do not warrant that the site will be error-free or free of harmful components.

Limitation of liability

To the maximum extent permitted by law, OMEC Smart Card Inc. and its officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising from or relating to your use of the site or reliance on its content, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from use of the site will not exceed one hundred U.S. dollars (US $100).

Nothing in these terms excludes or limits liability for gross negligence, willful misconduct or fraud, or any liability that cannot be excluded or limited under applicable law, and nothing in them waives rights - including statutory privacy and consumer rights - that cannot be waived. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify OMEC Smart Card Inc. against third-party claims, and the resulting damages and reasonable expenses (including attorney fees), to the extent caused by your breach of these terms, your violation of law, or your misuse of the site. We will notify you promptly of any such claim and may, at our expense, assume its defense; you will not settle a claim that imposes obligations on us without our written consent. This section survives termination of these terms.

Suspension

We may block, restrict or suspend access to the site or the contact form, without notice, where we reasonably believe it is necessary to stop abuse or protect the site’s security or other users.

Governing law and venue

These terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law rules. Any dispute arising from these terms or your use of the site will be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to the personal jurisdiction of those courts. If the law of your place of residence grants you non-waivable rights or venue protections, nothing in this section overrides them.

Changes to these terms

We may update these terms from time to time. The current version will always be posted on this page with its effective date, and changes apply prospectively from that date. For material changes, we will provide reasonable advance notice on this page before they take effect. If you do not agree to a change, stop using the site. Prior versions are retained and available on request.

General

If any provision of these terms is held unenforceable, the remaining provisions stay in full force and effect, and our failure to enforce any provision is not a waiver of it. We may assign these terms to an affiliate or a successor in a merger, acquisition or sale of assets; you may not assign them without our written consent. Sections concerning intellectual property, submissions, disclaimers, limitation of liability, indemnification and governing law survive any termination. You consent to receiving communications about your inquiry electronically. These terms are the entire agreement between you and OMEC Smart Card Inc. regarding use of the site; they do not govern product purchases, which are covered by separate written agreements.
